Campus Red Cross
Constitution and By-Laws
Amend. October 6, 2003
ARTICLE I NAME
The name of this organization shall be the
University of Nebraska-Lincoln Campus Red Cross.
ARTICLE II PURPOSE
Section 1: The purpose of this college
organization shall be to act locally within its jurisdiction for the
American Red Cross in accordance with the character and by-laws of the
national organization and in conformity with such policies and
regulations as may from time to time be established by the Board of
Governors of the American Red Cross and the Lancaster County Chapter of
the American Red Cross Board of Directors.
Section 2: This college organization shall have
jurisdiction over all American Red Cross activities conducted by and for
the enrolled student body of the University of Nebraska-Lincoln and over
such activities as may be specially authorized by the Board of Directors
of the Lancaster County Chapter of the American Red Cross. All such
jurisdiction must not conflict with those regulations governing student
organizations at the University of Nebraska-Lincoln.
ARTICLE III MEMBERSHIP
Section 1: Eligibility
a: This organization does not
discriminate in the selection of members or appointments when
discrimination is defined as denying individuals membership or
appointment on the basis of a person’s age, race, national origin,
color, gender, sexual orientation, creed, handicap, or place of
residence.
b: Members must be full-time students
of the University of Nebraska-Lincoln.
c: A student organization shall
consist of at least five currently enrolled student members.
Non-students will be allowed to participate in any student organization
activity, but will not be a voting member, or an elected or appointed
officer of said organization. A non-student is someone who is not
currently enrolled at the University of Nebraska-Lincoln for the Fall or
Spring semester.
Section 2: All enrolled, full-time students at the
University of Nebraska-Lincoln who are volunteers for this organization
may be members of the University of Nebraska-Lincoln Campus Red Cross.
Full-time students can join at any time during the school year.
Section 3: All qualified students of the
University of Nebraska-Lincoln who choose to become members will be
considered active members of the University of Nebraska-Lincoln Campus
Red Cross.
Section 4: Membership will be revoked by the
organization under the following conditions: three consecutive
unexcused absences from meetings or events, or is no longer a full-time
student at UNL.
ARTICLE IV OFFICERS
Section 1: The officers of the Campus Red Cross
Executive Committee shall consist of the President, President-Elect,
Secretary, Treasurer, Outreach Chair, Outreach Co-Chair, Donor Chair,
Donor Co-Chair, Basic Aid Training Chair, Basic Aid Training Co-Chair,
First Aid Team Chair, First Aid Team Co-Chair, Disaster Action Team
Chair, Disaster Action Team Co-Chair, School Clubs Chair, and such other
officers as deemed by the President shall constitute the executive
committee for a total of fifteen.
The members of the
executive committee are required to attend executive committee meetings
and general meetings as set by the President. Three consecutive
unexcused absences from executive committee meetings will result in
removal of that officer from his or her office.
Section 2: Duties of Officers
a.
The President shall (1) be the executive head of the UNL CRC and
shall (2) preside at all organization meetings and such other meetings
deemed by the President.
b.
The President-Elect shall (1) have all the powers and duties of
the President in the absence or disability of the President, shall (2)
be responsible for keeping the by-laws updated and complete, shall (3)
perform other duties assigned by the President and shall (4) prepare to
serve as president for the following year.
c.
The Secretary shall (1) record and preserve the minutes of the
meetings, both regular and executive committee, shall (2) create a
listserv for both the regular and executive committees and e-mail the
minutes to them after each meeting, shall (3) send to the Lancaster
County Chapter of the American Red Cross the names of the officers
elected each year and any interim changes that may occur, shall (4)
maintain the necessary documents of record for the organization and
transmit to the chapter house such reports required by it, and shall (5)
perform such duties assigned by the President.
d.
The Treasurer shall (1) keep an updated record of our financial
account, (2) report current balance at all executive meetings, (3)
gather budget proposals and report them to the executive committee, (4)
perform such duties assigned by the President.
e.
The executive committee shall give the power to appoint and
delegate power to such committees as is deemed necessary, to fix power
of such committees, to increase or reduce the membership of such
committees, as well as to select each committee chair and co-chair.
Section 3: Elections
a.
Any qualified member of the University of Nebraska-Lincoln may
apply for an office. The University of Nebraska-Lincoln Campus Red
Cross shall hold one election a year in April. The President,
President-Elect, Secretary, and Treasurer will be elected while all
other positions will be appointed.
b.
All elected offices shall be elected through an
application/election procedure. All University of Nebraska-Lincoln
Campus Red Cross members who have attended at least one prior meeting
and are in good standing as determined by the secretary, shall be
permitted to vote in Campus Red Cross elections. The candidate with the
most votes shall be elected to the office.
c.
The offices of the President, Donor Chair, Basic Aid Training
Chair, Disaster Action Team Chair, Outreach Chair, and First Aid Team
Chair shall be filled the following year by the previous Co-Chair.
d.
All terms shall last from the week after they are approved until
a successor is elected and takes office.
Section 4: In the event that the office of Donor
Chair, Basic Aid Training Chair, Disaster Action Team Chair, Outreach
Chair, and First Aid Team Chair becomes vacant during the year, the
Co-chair automatically becomes the chair, and a new Co-chair shall be
appointed. In the event that the office of the President becomes vacant
during the year, the President-Elect will become the President and serve
the rest of the term in addition to serving the full term the following
year. In the event that an officer is unable to fulfill his or her
duties, or has demonstrated extreme negligence toward his or her office
as determined by the President, the President shall appoint a qualified
member to fill the vacant position.
ARTICLE V ADVISORS
Section 1: All advisors must be
Academic/Administrative or Managerial Professional Faculty staff of the
University of Nebraska-Lincoln.
Section 2: A faculty member will serve as advisor
on a volunteer basis and will be notified of all executive committee
meetings and special events pertaining to the University of
Nebraska-Lincoln Campus Red Cross.
Section 3: The faculty advisor may determine the
length of his or her term with a maximum of three years, reappointed.
Section 4: A second advisor shall be appointed by
the Lancaster County Chapter of the American Red Cross and shall be
notified of all executive committee meetings and all events pertaining
to the University of Nebraska-Lincoln Campus Red Cross.
Section 5: The term of the second advisor shall be
determined by the Lancaster County Chapter American Red Cross Board with
a maximum of three years, reappointed.
ARTICLE VI MEETINGS AND PROCEDURES
Section 1: Frequency of Meetings
a.
The University of Nebraska-Lincoln Campus Red Cross shall meet at
least bi-monthly during the college school year. Other meetings may be
called as the direct action of the President or the executive committee.
b.
The executive committee shall meet when necessary, as determined
by the President.
Section 2: A quorum of the executive committee
shall consist of two-thirds of the members of the executive committee.
A quorum shall be present at elections and at the discussion of voting
of the Constitution and By-Laws.
Section 3: Minutes of the organizational
proceedings will be the responsibility of the secretary.
Sections 4: In the event of conflict concerning
proper rules of procedure, the President will serve as recognized
authority.
ARTICLE VII REGULATORY POWERS
Section 1: The legislative powers of this
organization will consist of simple majority vote of all University of
Nebraska-Lincoln Campus Red Cross members.
Section 2: The President will have all executive
powers
ARTICLE VIII FINANCE
Section 1: The college unit is supported by
funds received from the Lancaster County Chapter of the American Red
Cross. Membership dues of $5 are mandatory. Expenditures shall be made
only after the approval of the executive committee and the Lancaster
County Chapter of the American Red Cross.
Section 2: Organizational moneys will be handled
by the Student Activities Financial Services, regardless of the source.
Section 3: No part of the net earnings of the
organization shall inure to the benefit of, or be distributed to, its
members, trustees, officers, or other private persons, except that the
organization shall be authorized and empowered to pay reasonable
compensation for services rendered. The organization shall not carryon
any activities not permitted to be carried on by an organization exempt
from federal income tax under Section 501 of the Internal Revenue Code
of 1986 (or the corresponding provision of any future United States
Internal Revenue Laws).
ARTICLE IX NON-CAMPUS AFFILIATON
Section 1: This organization is a university
affiliate of the Lancaster County Chapter of the American Red Cross.
Section 2: Our relationship to the affiliate
consists of extension of the Lancaster County Chapter of the American
Red Cross on the University of Nebraska-Lincoln campus for university
students.
Section 3: In order to be a member of the
affiliate organization, members must volunteer time to University of
Nebraska-Lincoln Campus Red Cross projects to better the Lincoln
community.
Section 4: This organization is funded by the
Lancaster County Chapter, American Red Cross.
ARTICLE X AMENDMENTS
Section 1: All amendments must be ASUN approved.
Section 2: The CRC by-laws may be amended by a
two-thirds majority vote of quorum of the executive committee at an
executive committee meeting. Amendments may be proposed by any member
of the executive committee.
ARTICLE XII PROCESS FOR DISSOLUTION
Upon the dissolution of the corporation, the Board
of Trustees shall, after paying or making provisions for the payment of
all the liabilities of the organization, dispose of all the assets of
the organization in such a manner, or to such organizations organized
and operated exclusively for charitable, education, religious, or
scientific purposes as shall at the time qualify as an exempt
organization under 501 © of the internal Revenue Code of 1964 (or the
corresponding provision of any future United States Internal Revenue
Law), as the Board of Trustees shall determine. Any such assets not
such disposed of shall be disposed of by the Court of Common Pleas of
the county in which the principal office of the corporation is then
located, exclusively for such purposes or to such organization or
organizations, as said the said Court will determine, which are
organized exclusively for such purposes.
